Balance Ocean provides financial education services, including but not limited to:

• Access to a private Discord community server where live trade operations, portfolio updates, institutional research, and market analysis are shared.
• Real-time documentation of investment decisions executed by Balance Ocean's own team within its proprietary portfolios on the tastytrade platform — shared for educational purposes only, not as signals, recommendations, or advice.
• Educational content, research, and market analysis materials.
• A free weekly newsletter available to subscribers without a paid membership.

All content is provided strictly for educational and informational purposes only. Balance Ocean does not provide personalized investment advice, broker-dealer services, or portfolio management services. Nothing shared within our community constitutes a recommendation to buy or sell any financial instrument.

What Balance Ocean is not: Balance Ocean is a financial education company. We are not a signal service, a copy-trading platform, a robo-adviser, or a managed account provider. We do not tell you what to buy, when to buy it, or how much to invest. What we share is a transparent, documented record of how we manage our own capital — designed to teach financial methodology, risk management, and investment reasoning. Members are expected to make all investment decisions independently and take full personal responsibility for any action they take in their own accounts.

• You must be at least 18 years of age to purchase a membership or use our paid services.
• You must have the legal capacity to enter into binding contracts in your jurisdiction.
• Our services are not available to persons in jurisdictions where the provision or use of such services would be contrary to applicable law or regulation.
• By using our services, you represent and warrant that you meet all eligibility requirements.

Access to the Balance Ocean Discord community and premium content requires a paid recurring membership subscription. By purchasing a membership, you agree to the following:

• Membership fees are charged on a recurring basis (monthly or annually, depending on the plan selected) via Stripe, Inc., our authorized payment processor.
• Your membership renews automatically at the end of each billing period unless you cancel prior to the renewal date.
• You authorize Balance Ocean to charge your payment method on file for all applicable fees and taxes.
• Prices are subject to change with prior notice of at least 30 days to active members.
• You are responsible for maintaining accurate and up-to-date payment information.

Client Billing Portal. All subscription management — including cancellation, plan changes, payment method updates, and invoice downloads — is handled through the Balance Ocean Client Portal powered by Stripe. Balance Ocean does not store, process, or have access to your full credit card or debit card numbers, CVV codes, or banking credentials. All payment data is stored and processed exclusively by Stripe, Inc., in accordance with their PCI-DSS Level 1 certification.

Upon successful payment, you will be granted access to the Balance Ocean private Discord server. To activate access, you must provide your Discord username through our registration page.

• Discord access is personal and non-transferable. Sharing your access with third parties is strictly prohibited and may result in immediate termination of your membership without refund.
• You must comply with Discord's Terms of Service and Community Guidelines at all times.
• Balance Ocean reserves the right to remove any member from the Discord server for conduct that violates these Terms, Discord's policies, or that is deemed harmful to the community, without refund.
• Discord access is contingent upon an active, paid subscription. Access is revoked automatically upon subscription expiration or cancellation.

You agree not to:

• Share, reproduce, redistribute, or resell any content from the Balance Ocean Discord community or website without prior written consent.
• Use our services for any unlawful purpose or in violation of any applicable regulation.
• Engage in market manipulation, coordinated trading schemes, or any activity that may constitute securities fraud.
• Harass, threaten, or intimidate other community members or Balance Ocean staff.
• Post spam, unsolicited promotions, or content unrelated to the community's purpose.
• Attempt to gain unauthorized access to our systems, accounts, or data.
• Share your Discord access credentials or invite unauthorized persons to the private server.

Violation of these provisions may result in immediate termination of your membership without notice or refund.

All content published by Balance Ocean Inc., including but not limited to trade analyses, research reports, course materials, videos, written content, graphics, and the Balance Ocean name and logo, is the exclusive intellectual property of Balance Ocean Inc. and is protected by applicable copyright, trademark, and intellectual property laws.

Your membership grants you a limited, personal, non-exclusive, non-transferable license to access and consume the content for your own educational purposes. You may not copy, reproduce, modify, distribute, publicly display, or create derivative works from any Balance Ocean content without express written permission.

Balance Ocean Inc. is not a registered investment adviser, broker-dealer, or financial planner. All content, trade sharing, research, and analysis provided through our services is for educational and informational purposes only and does not constitute investment advice, a solicitation, or an offer to buy or sell any security.

You acknowledge and agree that:

• Any investment or trading decision you make is solely your own responsibility.
• Investing in financial markets involves substantial risk of loss, and you could lose all or a portion of your invested capital.
• Past performance of any strategy, trade, or investment discussed is not indicative of future results.
• You should consult a licensed financial advisor before making any investment decisions.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, BALANCE OCEAN INC., ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, INVESTMENT LOSSES, LOSS OF DATA, OR LOSS OF GOODWILL, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF OUR SERVICES, WHETHER BASED ON CONTRACT, TORT, NEGLIGENCE, STRICT LIABILITY, OR OTHERWISE.

In no event shall our total liability to you for all claims exceed the total amount paid by you to Balance Ocean in the twelve (12) months immediately preceding the event giving rise to the claim.

You agree to indemnify, defend, and hold harmless Balance Ocean Inc. and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or in any way related to: (a) your use of our services; (b) your violation of these Terms; (c) your violation of any third-party rights, including intellectual property or privacy rights; or (d) any investment decisions you make based on content viewed through our services.

Balance Ocean reserves the right to suspend or terminate your access to any or all services at any time, with or without cause, and with or without notice. Grounds for termination include, but are not limited to, violation of these Terms, fraudulent activity, or conduct harmful to the community or to Balance Ocean.

Upon termination for cause, no refund will be issued for any remaining subscription period. Sections 7 (Intellectual Property), 8 (Financial Disclaimer), 9 (Limitation of Liability), 10 (Indemnification), and 12 (Governing Law) survive termination of these Terms.

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States of America, without regard to its conflict of law provisions.

Any dispute arising out of or relating to these Terms or your use of our services shall be resolved exclusively through binding arbitration administered in accordance with the rules of the American Arbitration Association (AAA), with proceedings conducted in English in the State of Delaware. You waive any right to a jury trial or to participate in a class action lawsuit or class-wide arbitration.

Notwithstanding the foregoing, either party may seek injunctive or other equitable relief in any court of competent jurisdiction to protect intellectual property rights.

If any provision of these Terms is found to be invalid, illegal, or unenforceable, that provision shall be modified to the minimum extent necessary to make it enforceable, and the remaining provisions shall continue in full force and effect.

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Balance Ocean Inc. with respect to our services and supersede all prior agreements and understandings.
